However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction, below, will not apply to any disputes for which the parties have actual notice on or prior to the date the change is posted on the Website.

Indemnification

Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Arizona without giving effect to any choice or conflict of law provision or rule whether of the State of Arizona or any other jurisdiction.

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Arizona, although Framework Legal retains the right to bring any suit, action, or proceeding against You for breach of these Terms of Use in Your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over You by such courts and to venue in such courts.

Mediation/Arbitration

Any dispute arising out of or relating to this Website, including these Terms of Use, any other policies, or the operation of Framework Legal, that cannot be settled through informal negotiation must be submitted to non-binding mediation prior to any party taking any legal action. A dispute may be submitted to mediation by any party notifying the other parties in writing (“Mediation Notice”). The mediator will be chosen by agreement of the parties and mediation will be held in Maricopa County, Arizona within sixty (60) days after the Mediation Notice. If any party refuses to participate in good-faith selection of the mediator, the parties participating in good-faith will select the mediator. The parties will split the costs of mediation equally. The mediator will deem the mediation “Complete” when the parties agree that it has been completed or the mediator declares that an impasse exists. If mediation becomes Complete without resolution, the parties may then proceed to file a claim, demand, or action. The statute of limitations will be tolled during the mediation process.

At Framework Legal’s sole discretion, it may require You to submit any disputes arising from these Terms of Use or use of the Website, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Arizona law.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Waiver and Severability

No waiver by Framework Legal of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Framework Legal to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms of Use will continue in full force and effect. 

Entire Agreement

These Terms of Use, Framework Legal’s Privacy Policy, and Framework Legal’s Legal Disclaimer constitute the sole and entire agreement between You and Framework Legal regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

Scammers may claim to be Framework Legal PLLC representatives by email or over the phone. If you are suspicious or unsure of an email received by Framework Legal PLLC, please reach out by phone or send an email directly to a staff member or to info@frameworklegal.com.

  • Do not provide any personal or financial information such as bank accounts, credit card numbers, or social security numbers in any phone or email communication.

Many scam email addresses can look quite real as the senders will often only change one or two letters, which you may not notice. If you aren’t expecting an email from a Framework Legal PLLC staff member, chances are we didn’t send the email. It’s always wise to look at the extension on the email address, look for typographical errors, or incorrect grammar usage – these can all be clues the email is phishing. If you have any doubts or concerns, please take the following steps:

  • Contact Framework Legal PLLC regarding the email immediately. 
  • Do not open or click on any links or attachments in the email.
  • Do not respond to the email at all, provide any personal or confidential information, or send any money in response to the email.

Framework Legal PLLC no longer sends faxes to clients either.
